These Terms of Service ("Terms") govern your access to and use of the website located at deployzeroshare.com ("Website"), the ZeroShare Gateway software and platform ("Software"), the ZeroShare Desktop Agent, the ZeroShare VS Code Extension, and all related services (collectively, the "Service") provided by ZeroShare, Inc. ("ZeroShare," "Company," "we," "us," or "our"), a corporation organized under the laws of the State of Rhode Island, United States.
BY ACCESSING OR USING THE SERVICE, YOU ("YOU" OR "CUSTOMER") AGREE TO BE BOUND BY THESE TERMS. IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF AN ORGANIZATION, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND THAT ORGANIZATION. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.
1. Acceptance of Terms
1.1 By creating an account, subscribing to a plan, installing the Software, downloading companion software, or otherwise using the Service, you accept and agree to be bound by these Terms, our End User License Agreement ("EULA"), and our Privacy Policy ("Privacy Policy"), each of which is incorporated herein by reference.
1.2 We may update these Terms from time to time. We will provide notice of material changes at least thirty (30) days before they take effect, by email to the address associated with your account or through the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before they take effect.
1.3 These Terms apply to all users of the Service, including visitors to the Website, free-tier users, trial users, and paid subscribers.
2. Description of Service
2.1 ZeroShare Gateway. ZeroShare Gateway is a self-hosted AI security middleware designed to help protect organizations from accidental data leakage when employees and developers use AI-powered tools and services. The Software provides PII (personally identifiable information) detection and redaction, secrets detection and blocking, role-based access control, audit logging, and AI model routing capabilities.
2.2 Companion Software. The Service includes optional companion software:
- ZeroShare Desktop Agent -- a local proxy application for end-user workstations;
- ZeroShare VS Code Extension -- an IDE extension for developer workflows.
2.3 Self-Hosted Model. The Software is deployed on Customer's own infrastructure (on-premise, private cloud, or public cloud). ZeroShare does not host, operate, or manage Customer's deployment of the Software. Customer is responsible for its own infrastructure, security, and operational maintenance.
2.4 No Security Guarantee. The Service is designed to help detect and prevent certain categories of data leakage. ZeroShare does not guarantee that the Service will detect all sensitive data or prevent all data leakage. The Service should be used as one component of a comprehensive, defense-in-depth security strategy.
3. Account Registration and Security
3.1 Account Creation. To access paid features of the Service, you must create an account by providing accurate, current, and complete information. You agree to update your account information to keep it accurate and current.
3.2 Account Security. You are responsible for:
- Maintaining the confidentiality of your account credentials, License Keys, and Personal Access Tokens;
- All activities that occur under your account, whether or not authorized by you;
- Notifying ZeroShare immediately at security@deployzeroshare.com of any unauthorized use of your account or any other security breach.
3.3 Magic Link Authentication. The Service may use email-based magic link authentication. By using magic link authentication, you authorize ZeroShare to send authentication emails to the email address associated with your account via Amazon Web Services Simple Email Service (AWS SES). These emails are transactional in nature and are necessary for account access.
3.4 Single Sign-On (SSO). Enterprise customers may configure SSO/OIDC integration. Customer is responsible for the security and configuration of its identity provider.
3.5 Account Eligibility. The Service is intended for business use. You must be at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement to create an account.
4. Subscription Tiers and Pricing
4.1 Subscription Tiers
The Service is offered in the following tiers:

Air-Gap Add-on: $2,500 per year (available for Team, Business, and Enterprise tiers).
4.2 Free Tier. The Free Tier provides limited functionality for up to five (5) Authorized Users at no cost. The Free Tier does not require a credit card. ZeroShare reserves the right to modify, limit, or discontinue the Free Tier at any time with thirty (30) days' notice. Free Tier users are not entitled to service level commitments, priority support, or guaranteed availability.
4.3 Free Trial
- ZeroShare offers a fourteen (14) day free trial for the Team and Business tiers. During the trial, you have access to all features of the selected tier for up to twenty-five (25) Authorized Users.
- A valid credit card or payment method is required at the time of trial registration for paid tiers.
- You may cancel at any time during the trial period without charge. If you do not cancel before the trial period expires, your subscription will automatically convert to a paid subscription at the applicable rate, and your payment method will be charged.
- Each organization is entitled to one (1) free trial. Creating multiple accounts to obtain additional trials is a violation of these Terms.
4.4 Pricing Changes. ZeroShare reserves the right to change pricing for any Subscription Tier. Price changes for existing subscribers will take effect at the next renewal period, with at least thirty (30) days' prior written notice.
5. Billing and Payment
5.1 Payment Processing
- Direct Purchases. For subscriptions purchased directly through the ZeroShare Website or billing portal, payment is processed by Stripe, Inc. ("Stripe"). By providing payment information, you authorize ZeroShare and Stripe to charge your payment method for all applicable fees. Your payment information is handled by Stripe in accordance with Stripe's privacy policy and PCI DSS requirements. ZeroShare does not store your full credit card number.
- AWS Marketplace. For subscriptions purchased through AWS Marketplace, billing is handled by Amazon Web Services, Inc. pursuant to AWS Marketplace terms. The billing terms in this Section 5 apply to the extent not superseded by AWS Marketplace terms.
5.2 Recurring Billing. Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). By subscribing, you authorize recurring charges to your payment method at the beginning of each billing period until you cancel.
5.3 Auto-Renewal. All paid subscriptions automatically renew for successive periods of the same duration unless cancelled at least thirty (30) days before the end of the then-current billing period. Renewal will be at the then-current pricing.
5.4 Cancellation
- You may cancel your subscription at any time through the billing portal, the applicable Distribution Channel interface (e.g., AWS Marketplace console), or by sending written notice to billing@deployzeroshare.com.
- Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have already paid.
- No prorated refunds are issued for unused portions of a billing period for monthly subscriptions. Annual subscriptions are billed for the full annual term; no prorated refunds are issued for early cancellation, except as required by applicable law or as described in the EULA.
5.5 Downgrade. You may downgrade your Subscription Tier at any time. Downgrades take effect at the beginning of the next billing period. If the number of Authorized Users exceeds the limit of the new tier, you must reduce the number of users before the downgrade takes effect.
5.6 Upgrade. You may upgrade your Subscription Tier at any time. Upgrades take effect immediately. For monthly subscriptions, you will be charged a prorated amount for the remainder of the current billing period. For annual subscriptions, you will be charged the prorated difference for the remainder of the annual term.
5.7 Failed Payments. If a payment fails, ZeroShare will attempt to process the payment up to three (3) additional times over a fifteen (15) day period. If all attempts fail, ZeroShare will notify you and may suspend your access to paid features. Your subscription will not be terminated solely due to a failed payment until at least thirty (30) days after the original payment due date.
5.8 Taxes. All fees are exclusive of applicable taxes. You are responsible for all sales, use, VAT, GST, withholding, and other taxes applicable to your subscription, except taxes based on ZeroShare's net income.
5.9 Refunds. ZeroShare generally does not offer refunds except as described in the EULA Section 3.6. If you believe you are entitled to a refund, contact billing@deployzeroshare.com within thirty (30) days.
6. License and License Keys
6.1 Software License. Your use of the Software is governed by the EULA. In the event of a conflict between these Terms and the EULA regarding the Software license, the EULA shall control.
6.2 License Key System. Paid Subscription Tiers require a License Key for activation. License Keys are issued upon purchase or trial registration and are subject to the terms and restrictions described in the EULA, Section 4.
6.3 License Verification. The Software performs periodic license verification as described in the EULA, Section 4.2. By using the Service, you consent to this license verification behavior.
6.4 Gentle Degradation. If license verification fails for more than thirty (30) consecutive days, the Software will automatically downgrade to the Free Tier feature set as described in the EULA, Section 4.3. The Software will not lock out users or cease functioning.
7. Acceptable Use
7.1 Permitted Use. You may use the Service only for your internal business purposes in accordance with these Terms, the EULA, and applicable law.
7.2 Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service;
- Interfere with or disrupt the integrity or performance of the Service or the data contained therein;
- Transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature through the Service;
- Use the Service to store, transmit, or process any data that you do not have the right to use;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law;
- Use the Service to develop a competing product or service;
- Resell, sublicense, or provide access to the Service to any third party without ZeroShare's prior written consent;
- Use automated tools (bots, scrapers, crawlers) to access the Website or Service in a manner that exceeds reasonable use;
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
- Circumvent, disable, or interfere with any license verification, usage limitation, or security mechanisms.
7.3 Enforcement. ZeroShare reserves the right to investigate and take appropriate action against any violation of this Section, including suspending or terminating your account and reporting to law enforcement.
8. Content and Intellectual Property
8.1 ZeroShare Content. All content on the Website, including text, graphics, logos, images, software, and documentation (collectively, "ZeroShare Content"), is the property of ZeroShare or its licensors and is protected by copyright, trademark, and other intellectual property laws.
8.2 Limited Website License. ZeroShare grants you a limited, non-exclusive, non-transferable, revocable license to access and view the ZeroShare Content solely for your personal or internal business use in connection with evaluating or using the Service. You may not copy, reproduce, distribute, publish, display, perform, modify, create derivative works from, transmit, or otherwise exploit ZeroShare Content without our prior written consent.
8.3 Trademarks. "ZeroShare," the ZeroShare logo, and other ZeroShare marks are trademarks of ZeroShare, Inc. You may not use ZeroShare trademarks without our prior written consent.
8.4 Customer Data. You retain all rights in your Customer Data. ZeroShare does not acquire any rights to Customer Data except the limited right described in the EULA.
8.5 Content Creation Disclosure. ZeroShare employs various tools and technologies in its content creation workflow, which may include artificial intelligence and machine learning systems. All content published on the Website undergoes editorial review. Statistics, data points, and technical guidance are sourced from publicly available research and established authorities. Readers should verify critical information with primary sources and consult appropriate professionals for specific compliance, legal, or technical guidance.
8.6 Feedback. Any Feedback you provide is governed by EULA Section 5.3.
9. Privacy and Data Protection
9.1 Privacy Policy. Your use of the Service is subject to ZeroShare's Privacy Policy. The Privacy Policy describes what information ZeroShare collects, how it is used, and your rights regarding that information.
9.2 On-Premise Data Processing. The Software processes Customer Data (including prompts, AI responses, and scanning results) on Customer's infrastructure. ZeroShare does not receive, access, or store Customer Data processed by the Software.
9.3 Data We Collect. ZeroShare collects certain data in connection with your use of the Service, including account information, billing information, license verification data, and Website usage data. See the Privacy Policy for full details.
9.4 GDPR. If you are located in the European Economic Area, the United Kingdom, or Switzerland, additional rights and protections may apply under the General Data Protection Regulation (GDPR) and related laws. See the Privacy Policy, Section 10, for details. ZeroShare offers a Data Processing Agreement (DPA) upon request.
9.5 CCPA. If you are a California resident, you have specific rights under the California Consumer Privacy Act (CCPA). See the Privacy Policy, Section 11, for details.
9.6 HIPAA. ZeroShare offers a Business Associate Agreement (BAA) for customers subject to HIPAA. Contact legal@deployzeroshare.com for details.
10. Third-Party Services
10.1 Third-Party Integrations. The Service may integrate with or route requests to third-party AI services (such as Azure OpenAI and AWS Bedrock) as configured by Customer. ZeroShare is not responsible for the availability, accuracy, or content of third-party services.
10.2 Third-Party Payment Processors. Payment processing is provided by third-party processors (Stripe, AWS). Your use of these payment services is subject to their respective terms and privacy policies.
10.3 Third-Party Links. The Website may contain links to third-party websites. ZeroShare is not responsible for the content or practices of any linked third-party site.
11. Warranties and Disclaimers
11.1 Service Availability. ZeroShare will use commercially reasonable efforts to make the Website available. However, the Website may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.
11.2 Software Warranties. Warranties for the Software are provided in the EULA and are not duplicated here.
11.3 WEBSITE DISCLAIMER. THE WEBSITE AND ALL CONTENT THEREON ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. ZEROSHARE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ZEROSHARE DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
11.4 INFORMATION DISCLAIMER. INFORMATION PROVIDED ON THE WEBSITE, INCLUDING BLOG POSTS, DOCUMENTATION, COMPLIANCE GUIDES, AND OTHER MATERIALS, IS FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL, FINANCIAL, SECURITY, OR COMPLIANCE ADVICE. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS FOR ADVICE SPECIFIC TO YOUR CIRCUMSTANCES.
12. Limitation of Liability
12.1 THE LIMITATIONS OF LIABILITY SET FORTH IN THE EULA (SECTION 9) APPLY TO ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS.
12.2 WITHOUT LIMITING THE FOREGOING, ZEROSHARE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM: (A) YOUR RELIANCE ON ANY INFORMATION PROVIDED THROUGH THE SERVICE OR WEBSITE; (B) INTERRUPTION OF BUSINESS OR LOSS OF DATA; (C) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS; (D) THE CONDUCT OF ANY THIRD PARTY IN CONNECTION WITH THE SERVICE.
13. Indemnification
13.1 By Customer. You agree to indemnify, defend, and hold harmless ZeroShare, its officers, directors, employees, agents, and affiliates from and against any third-party claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of or access to the Service;
- Your violation of these Terms;
- Your violation of any third-party right, including any intellectual property, privacy, or publicity right;
- Your Customer Data;
- Any claim that your use of the Service caused damage to a third party.
13.2 By ZeroShare. ZeroShare's indemnification obligations are set forth in the EULA, Section 10.
14. Termination
14.1 By You. You may terminate your account at any time by cancelling your subscription (as described in Section 5.4) and ceasing use of the Service.
14.2 By ZeroShare
ZeroShare may suspend or terminate your access to the Service:
- Immediately if you materially breach these Terms (including the Acceptable Use provisions in Section 7);
- Upon thirty (30) days' written notice for any other breach, if the breach is not cured during the notice period;
- Immediately if required by law or to protect the rights, safety, or property of ZeroShare or third parties.
14.3 Effect of Termination. Upon termination: (a) your right to use the Service ceases; (b) provisions that by their nature should survive termination will survive, including Sections 8, 9, 11, 12, 13, 15, and 16; (c) ZeroShare will handle your data as described in the EULA, Section 11.6.
15. Dispute Resolution
15.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Rhode Island, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15.2 Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Providence, Rhode Island. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
15.3 CLASS ACTION WAIVER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU AGREE NOT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION.
15.4 Attorneys' Fees. The prevailing party in any dispute shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing party.
15.5 Injunctive Relief. Notwithstanding the arbitration provision, either party may seek temporary injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.
15.6 Time Limitation. Any claim arising out of or related to these Terms must be brought within one (1) year after the cause of action accrues, or such claim shall be permanently barred.
16. General Provisions
16.1 Entire Agreement. These Terms, together with the EULA, Privacy Policy, and any applicable order form or enterprise agreement, constitute the entire agreement between you and ZeroShare regarding the Service and supersede all prior agreements and understandings. In the event of a conflict, the order of precedence is: (1) enterprise agreement or order form (if applicable), (2) EULA (for Software license matters), (3) these Terms, (4) Privacy Policy.
16.2 Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16.3 Waiver. The failure of ZeroShare to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
16.4 Assignment. You may not assign or transfer these Terms without ZeroShare's prior written consent. ZeroShare may assign these Terms to any successor to its business. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties' successors and permitted assigns.
16.5 Notices. ZeroShare may provide notices to you via the email address associated with your account or by posting on the Website. You may provide notices to ZeroShare at legal@deployzeroshare.com or by mail to the address in Section 17.
16.6 Force Majeure. Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, labor disputes, government actions, or internet or telecommunications failures.
16.7 Independent Contractors. The parties are independent contractors. Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship.
16.8 Export Compliance. You agree to comply with all applicable United States export control laws and regulations.
16.9 Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
